Continuing Education and Keeping Your Exams Alive
⏳ Licenses do not last forever, and neither does the SIE. Here are the clocks that tick after you pass.
💡 Key idea
Regulatory Element yearly by Dec 31; Firm Element per the firm's plan. Remember 2-4-5: rep exams lapse after 2 years out, the SIE lasts 4, MQP stretches to 5.
🧠 Why it matters
FINRA Rule 1240 has two parts. The REGULATORY ELEMENT is FINRA-built training every registered person completes ANNUALLY, by DECEMBER 31 (someone newly registered has until December 31 of the following year). Miss it and your registration becomes CE INACTIVE: no securities business and no transaction pay; after two consecutive inactive years FINRA terminates the registration. The FIRM ELEMENT is the firm's own program, based on an annual needs analysis and a written training plan. Clocks after leaving: a representative exam generally LAPSES 2 YEARS after the registration ends, but through the MAINTAINING QUALIFICATIONS PROGRAM (MQP) a person registered at least a year who elects within 2 years can keep it for up to 5 YEARS by doing annual CE. The SIE stays valid for 4 YEARS.
📈 In the real world
👶 Priya leaves her firm in 2026 to care for a newborn. When her U5 is filed she elects into the MQP and completes the annual CE each year. Returning in 2030, she registers without retaking the Series 7. Her colleague, who skipped MQP and stayed out three years, has to sit the exam again.
📌 Takeaways
- Regulatory Element: annually by December 31, or CE inactive
- Firm Element: annual needs analysis and written training plan
- 2-year lapse, MQP up to 5 years (elect within 2), SIE valid 4 years
📖 Terms in this lesson
Regulatory Element (CE): Continuing education every registered person must complete each year, by December 31.
Firm Element (CE): Annual continuing education each firm designs for its own registered people.
Maintaining Qualifications Program (MQP): A FINRA program letting people who leave the industry keep their qualifications for up to five years by completing yearly continuing education.
✅ Test yourself
A registered rep fails to complete the Regulatory Element by December 31. What happens?
- She must retake the Series 7 at once
- Her firm files a Form U5 within 30 days
- Her registration becomes CE inactive
- She pays a fine and keeps working
Answer: C · Her registration becomes CE inactive
Under Rule 1240 the registration is deemed CE inactive until the content is completed: no securities business and no transaction compensation. Termination comes only after two consecutive inactive years.
Through the Maintaining Qualifications Program, how long after termination can a former rep keep a qualification?
- Up to 4 years
- Up to 2 years
- Up to 3 years
- Up to 5 years
Answer: D · Up to 5 years
Rule 1240(c) lets an eligible person keep qualification for up to five years by completing annual CE. Two years is the normal lapse without MQP; four years is the SIE's validity.
Who designs the Firm Element of continuing education?
- The member firm, using an annual needs analysis and written plan
- FINRA, which delivers the same content to every person
- The state where the person is registered as an agent
- The SEC, which publishes it in each year's exam priorities
Answer: A · The member firm, using an annual needs analysis and written plan
The Firm Element is the member's own program built from an annual evaluation of its training needs. FINRA delivers the Regulatory Element, not the Firm Element.
